Mr. Rabi Narayan Pal
B.Com, LLB, FCS

Mr. Rabi Narayan Pal, is Fellow Member of the institute of the Company Secretaries of India (FCS) and holds a Honors degree in Commence. He has also obtained his bachelor's degree in law (LLB) from Utkal University, Odisha.

He is a registered Insolvency Professional with Insolvency and Bankruptcy Board of India and also a registered as Trademark Agent under Rule 142 of Trademark Rules, 2017. He has successfully completed post membership qualifications conducted by Institute of Company Secretaries of India in the area of Corporate Social Responsibility (CSR), Forensic Audit and IPR.

He is the founder of M/s.Rabi Narayan & Associates, Firm of Practising Company Secretaries, based in Chennai, bearing unique identification No.S2000TN667800 and having Peer Review Certificate No.1155/2021 issued by the Institute of Company Secretaries of India. He has more than two decades of experience in the areas of Corporate Secretarial, Business Setup, Support Services and Legal matters.

During his over two decades of experience as a practicing company secretary, he has advised a large number of business entities raging from proprietorships to large listed companies including foreign companies and multinational enterprises in various areas of business. His expertise includes setting up companies under Indian companies Act, obtaining approvals, compliance monitoring, Secretarial Audit, compliance and approvals under FEMA and RBI, various licenses and approvals required from Central/State Government(s)/ sectoral regulators/statutory authorities etc.,

He has presented papers on various topics of professional interest on company law, exchange control laws and Regulatory audit and was also involved in rendering of high value-added professional services. He is the head of the Firm's Transaction Advisory and Consultancy Practices.

He is now focusing on specialized service to MSMEs to improve their business and establish a strong compliance and governance framework thereby enable them to raise capital at an affordable cost and take their business to the next level of growth. His firm has a dedicated and experienced team to provide special advisory on Start-up registrations and seed funding besides SME listing.

His firm has been instrumental in successful listing of the prominent SME IPOs of companies in Chennai. Presently the firm is working on a number of SME IPOs which are in the pipeline aiming for listing in the SME platform. The firm is able to provide comprehensive service to companies which are aiming listing in the SME platform of BSE and NSE and also post listing compliance for these companies.


Dr. Tom Antony
B.Sc., LLB, FCS, MBA, ML, Ph.D.

Tom Antony, is a Fellow Member of the institute of the Company Secretaries of India (FCS) and holds Master's Degree in Business Laws (M.L) and Management (MBA) with specialization in Finance and HR from University of Madras and also holds Doctorate in Management for his studies on "Corporate Governance Practices of listed companies in India and its effect on Institutional Investors".

He has a career spanning over more than two decades in the corporate sector in senior management roles. He had exposure to both public sector and private sector companies which are publicly listed in Indian stock exchanges. He started his career as a Management Trainee in Secretarial and Legal Department of Chennai Petroleum Corporation (CPCL), a listed public sector entity. He had five-year tenure with Apollo Hospitals Enterprises Ltd and its group companies taking care of compliance functions dealing with Companies Act, SEBI Regulations, Stock Exchange Listing Agreement besides overseeing compliance of Non-profit organizations run by the Hospital Group. He was an integral part of the team which has successfully raised capital through issue of Global Depository Receipts (GDRs) with its listing in Luxembourg Stock Exchange.

He was associated with Panasonic Appliances India Co. Ltd, a listed Indian subsidiary of Japanese MNC Panasonic Corporation as Company Secretary and headed its legal and secretarial functions in the initial phase. He held various positions in Panasonic which includes head of the Corporate Affairs and HR, Chief Financial Officer (CFO) and Company Secretary. At the time of leaving Panasonic, he was holding the position of Chief Financial Officer and HeadOperations acting as deputy to the Managing Director overseeing entire organizational functions. He played key role in turning around the loss-making company with astute financial planning and tight budgetary controls coupled with balance sheet restructuring. He was also instrumental in successfully completing the voluntary delisting of Panasonic Appliances from the stock exchange during 2015.

He joined Oriental Hotels Ltd, a listed company from Tata Group as Associate Vice President – Legal & Company Secretary in November 2015. He was entrusted with the responsibility to oversee the legal and secretarial functions of Oriental Hotels Ltd and other group companies including joint ventures with State Governments operating in the southern part of India. He was instrumental in strategic sale of certain key properties and also in recovering debts which were significant and long overdue due to disputes and litigation.

He has cross functional experience in the areas of Legal, Secretarial, Human Resources, Finance & Accounts, Taxation, Administration, Corporate Governance, Compliance & Risk Management Alternate Dispute Resolution (ADR), CSR and ESG compliance, business restructuring and stakeholder/investor relations. Presently he is acting as a Corporate Law Consultant specialising in company law and SEBI Regulations.
